These Terms of Use (“Terms”) govern your use of our website, apps, and other products and services (“Services”). As some of our Services may be software that is downloaded to your computer, phone, tablet, or other device, you agree that we may automatically update this software, and that these Terms will apply to such updates. Please read these Terms carefully, and contact us if you have any questions, requests for information, or complaints. By clicking “I accept” (or for those who have not yet created an account, by using our Services), you agree to be bound by these Terms, including the policies referenced in these Terms. Using Golden Academy

Who May Use our Services

You may use our Services only if you can form a binding contract with Golden Academy, and only in compliance with these Terms and all applicable laws. When you create your Golden Academy account, and subsequently when you use certain features, you must provide us with accurate and complete information, and you agree to update your information to keep it accurate and complete. Any use or access by anyone under the age of 13 is prohibited, and certain regions and Content Offerings may have additional requirements and/or restrictions.

Our License to You

Subject to these Terms and our policies (including the Acceptable Use Policy, Honor Code, course-specific eligibility requirements, and other terms), we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to use our Services. You may download content from our Services only for your personal, non-commercial use, unless you obtain our written permission to otherwise use the content. You also agree that you will create, access, and/or use only one user account, unless expressly permitted by Golden Academy, and you will not share access to your account or access information for your account with any third party. Using our Services does not give you ownership of or any intellectual property rights in our Services or the content you access.

Content Offerings

Changes to Content Offerings

Golden Academy offers courses and content (“Content Offerings”) from universities and other providers (“Content Providers”). While we seek to provide world-class Content Offerings from our Content Providers, unexpected events do occur. Golden Academy reserves the right to cancel, interrupt, reschedule, or modify any Content Offerings, or change the point value or weight of any assignment, quiz, or other assessment, either solely, or in accordance with Content Provider instructions. Content Offerings are subject to the Disclaimers and Limitation of Liability sections below.

No Academic Credit

Golden Academy does not grant academic credit for the completion of Content Offerings. Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of Content Offerings does not confer any academic credit. Even if credit is awarded by one institution, there is no presumption that other institutions will accept that credit. You agree not to accept credit for completing a Content Offering unless you have earned a course certificate or other equivalent documentation of your completion of the Content Offering. Golden Academy instructors, and the associated Content Providers have no obligation to have Content Offerings recognized by any educational institution or accreditation organization.

Your Content

User Content

The Services enable you to share your content, such as homework, quizzes, exams, projects, other assignments you submit, posts you make in the forums, and the like (“User Content”), with Golden Academy, instructors, and/or other users. You retain all intellectual property rights in, and are responsible for, the User Content you create and share. User Content does not include course content or other materials made available on or placed on to the Golden Academy platform by or on behalf of Content Providers or their instructors using the Services or Content Offerings. As between Golden Academy and Content Providers, such Content Offerings are governed by the relevant agreements in place between Golden Academy and Content Providers.

How Golden Academy and Others May Use User Content

To the extent that you provide User Content, you grant Golden Academy a fully-transferable, royalty-free, perpetual, sublicensable, non-exclusive, worldwide license to copy, distribute, modify, create derivative works based on, publicly perform, publicly display, and otherwise use the User Content. This license includes granting Golden Academy the right to authorize Content Providers to use User Content with their registered students, on-campus learners, or other learners independent of the Services. Nothing in these Terms shall restrict other legal rights Golden Academy may have to User Content, for example under other licenses. We reserve the right to remove or modify User Content for any reason, including

Feedback

We welcome your suggestions, ideas, comments, and other feedback regarding the Services (“Feedback”). By submitting any Feedback, you grant us the right to use the Feedback without any restriction or any compensation to you. By accepting your Feedback, Golden Academy does not waive any rights to use similar or related Feedback previously known to Golden Academy, developed by our employees, contractors, or obtained from other sources.

Security

We care about the security of our users. While we work to protect the security of your account and related information, Golden Academy cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorized use of your account by emailing support@academy-golden.com

Third Party Content

Through the Services, you will have the ability to access and/or use content provided by instructors, other users, and/or other third parties and links to websites and services maintained by third parties. Golden Academy cannot guarantee that such third party content, in the Services or elsewhere, will be free of material you may find objectionable or otherwise inappropriate or of malware or other contaminants that may harm your computer, mobile device, or any files therein. Golden Academy disclaims any responsibility or liability related to your access or use of, or inability to access or use, such third party content.

Copyright and Trademark

Golden Academy respects the intellectual property rights of our users, Content Providers, and other third parties and expects our users to do the same when using the Services.

Education Research

Golden Academy is committed to advancing the science of learning and teaching, and records of your participation in courses may be used for education research. In the interest of this research, you may be exposed to variations in the Content Offerings. Research findings will typically be reported at the aggregate level. Your personal identity will not be publicly disclosed in any research findings without your express consent.

Paid Services from Golden Academy

Golden Academy offers paid Services (e.g., course certificates for certain courses) for a fee. Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees charged by or for Golden Academy and applicable taxes in a timely manner with a payment mechanism associated with the applicable paid Services. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms. Fees may vary based on your location and other factors, and Golden Academy reserves the right to change any fees at any time at its sole discretion. Any change, update, or modification will be effective immediately upon posting through the relevant Services. Refunds may be available for paid Services as described in our Refund Policy below.

Modifying or Terminating our Services

We are constantly changing and improving our Services. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our Services altogether. Accordingly, Golden Academy may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments. None of Golden Academy, its Content Providers and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents (the “Golden Academy Parties”) shall have any liability to you for any such action. You can stop using our Services at any time, although we’ll be sorry to see you go.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL INCLUDED CONTENT ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THE GOLDEN ACADEMY PARTIES SPECIFICALLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. THE GOLDEN ACADEMY PARTIES FURTHER DISCLAIM ANY AND ALL LIABILITY RELATED TO YOUR ACCESS OR USE OF THE SERVICES OR ANY RELATED CONTENT. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE SERVICES OR SUCH CONTENT IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GOLDEN ACADEMY PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY PARTY OTHER THAN THE APPLICABLE GOLDEN ACADEMY PARTY, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR INFORMATION. IN NO EVENT SHALL GOLDEN ACADEMY AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED TWENTY U.S. DOLLARS ($20) OR THE TOTAL AMOUNT OF FEES RECEIVED BY GOLDEN ACADEMY FROM YOU FOR THE USE OF PAID SERVICES DURING THE PAST SIX MONTHS, WHICHEVER IS GREATER.

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH IN THIS TERMS OF USE REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND THE GOLDEN ACADEMY PARTIES, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS TO GOLDEN ACADEMY’S ABILITY TO MAKE THE SERVICES AVAILABLE TO YOU ON AN ECONOMICALLY FEASIBLE BASIS.

YOU AGREE THAT ANY CAUSE OF ACTION RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Indemnification

You agree to indemnify, defend, and hold harmless the Golden Academy Parties from any and all claims, liabilities, expenses, and damages (to the extent attributable to you under the applicable law), including reasonable attorneys’ fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

General Terms

Revisions to the Terms

We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, via a banner on the website, email notification, another method, or combination of methods. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms.

Severability; Waiver

If it turns out that a particular provision of these Terms is not enforceable, this will not affect any other terms. If you do not comply with these Terms, and we do not take immediate action, this does not indicate that we relinquish any rights that we may have (such as taking action in the future).

Content Providers

Our Content Providers and integrated service providers are third party beneficiaries of the Terms and may enforce those provisions of the Terms that relate to them.

Your information is received and controlled by Golden Academy according to this Privacy Policy when you sign up for an Golden Academy account or otherwise use the Golden Academy Site.

Golden Academy is solely and independently responsible for its own privacy practices. No Member is responsible for Golden Academy’s privacy practices.

If you enroll in a course offered by a Member through the Golden Academy  Site, information about you and your activity in the course is received and controlled also by that Member as described in this Privacy Policy.

Each Member is solely and independently responsible for its own privacy practices. No Member is responsible for another Member’s privacy practices. Also, Golden Academy is not responsible for any Member’s privacy practices.

If you do not accept the terms of this Privacy Policy, then please do not access, browse, or register for the Golden Academy Site or enroll in any courses. If you choose not to provide certain information required to provide you with various products and services offered on the Golden Academy Site, then you may not be able to establish a user account or obtain those products or services.

Any version of this Privacy Policy in a language other than English is provided for convenience and you understand and agree that the English language version will control if there is any conflict.

INFORMATION THAT GOLDEN ACADEMY COLLECTS FROM YOU (INCLUDING PERSONAL INFORMATION)

Golden Academy directly collects information when you:

sign up for an Golden Academy user account and create an Golden Academy user profile;

enroll and participate in online courses;

purchase a product or service;

send email messages to Golden Academy (including messages to learner support);

participate in user surveys; and

participate in public forums, webinars, and other interactive experiences on the Golden Academy Site.

Golden Academy does not itself collect or store financial account numbers or identification issued by a governmental entity, employer, or other authority. Instead, if you choose to make a purchase on the Golden Academy Site, for example a Verified Certificate, you will be directed to Golden Academy’s third-party payment processor and Golden Academy’s third-party ID verification service provider. If you do not wish to submit the required authentication or payment information, then you will not be able to obtain a certificate via the Golden Academy Site.

Golden Academy requires your Personal Information limited circumstances when you:

sign up for an Golden Academy user account (name, username, email address);

purchase a Verified Certificate (so that Golden Academy’s third-party vendor can authenticate your identity) or other product or service (so that Golden Academy’s third-party vendor can process payment);

participate in remote proctoring or other course facilitation processes (so that Golden Academy’s third-party vendor can monitor and assess the integrity of your course activity); or

earn a Verified Certificate (the certificate will have your name on it).

To the extent that Golden Academy associates the information that Golden Academy collects directly or indirectly with an individual (for example, you), the association is based on Personal Information in your account profile.

You may voluntarily choose to share additional Personal Information on the Golden Academy Site, for example:

in your Golden Academy account profile (and you may display a limited or full profile to other Golden Academy Site users);

in applying for financial assistance; or

when participating in a course, forum, webinar, or other interactive experience on the Site (noting that in some cases, this information is shared with a third party that provides tools or other assistance for the Golden Academy Site or a course).

Golden Academy encourages you to use discretion before voluntarily sharing additional Personal Information on the Golden Academy Site. (If you later choose to delete your Golden Academy account, deletion of your Personal Information will be subject to the process and limits outlined below.)

Members do not receive your Personal Information unless and until you enroll in a course. If you enroll in a course, the Member that offers the course will receive Personal Information from your Golden Academy account profile plus the information that Golden Academy collects about your activity and performance in the course in which you enrolled.

Cookies And Tracking Technologies on the Golden Academy Site

Like many companies, Golden Academy uses Cookies on the Golden Academy Site and in email communications to help Golden Academy better understand your use and needs of the Golden Academy Site, current and future Golden Academy-related products and services, and how Golden Academy and Members can improve. For example:

based on your cookie settings, Golden Academy tracks information indicating, among other things, which pages of the Golden Academy Site were visited, the order in which they were visited, when they were visited, and which hyperlinks and other user interface controls were used;

Golden Academy may log the IP address, operating system, and browser software (including mobile use and device type when you use Golden Academy native mobile apps) you used when accessing the Golden Academy Site, and Golden Academy may be able to determine from an IP address your Internet Service Provider and the geographic location of your point of connectivity; and

Golden Academy may track and collect information from emails that Golden Academy sends to you, for example whether you opened the email or clicked on any links from the email.

Golden Academy also partners with third parties to help us track and understand your activity on the Golden Academy Site, how you interact with Golden Academy’s social media, and how you find or may be referred to the Golden Academy Site. Individual Members may separately use Tracking Technologies within their courses and email communications to understand your activity within a course and how you find or may be referred to a course on the Golden Academy Site.

Golden Academy and Members use Cookies and other Tracking Technologies for the following purposes:

when necessary for system administration, security, and integrity to ensure the Golden Academy Site works properly for you. Without these technologies, the Golden Academy Site may not function correctly;

to enable analytics, performance and functionality, to help Golden Academy and Members gather information about how visitors use the Golden Academy Site and monitor Golden Academy Site performance, and to enhance your experience by recognising and remembering whether you have visited the Golden Academy Site before and may have any personal preferences; and

to support marketing by enabling Golden Academy  and Members to deliver content relevant to your interests on the Golden Academy Site and third-party sites based on how you interact with Golden Academy or Member advertisements or content. Golden Academy and Members use “first-party” cookies, which means cookies served by Golden Academy or an individual Member, and also “third-party” cookies, which means cookies served by third parties that help Golden Academy and Members track this information.

You have some options for managing Cookies and other Tracking Technologies. These include:

Modifying your browser settings: You should be able to control how and whether your web browser accepts Cookies by adjusting its privacy and security settings. The “help” feature of the menu bar on most browsers will tell you how to stop accepting new Cookies, how to receive notification of new Cookies, and how to disable existing Cookies. If you reject Golden Academy’s Cookies, many functions and conveniences of the Golden Academy Site may not work properly.

Opting-out of certain third-party tracking and advertising: Some of the third parties used by Golden Academy or a Member for Cookies and Tracking Technologies offer the ability to opt-out from their tracking by following processes described on their websites. Neither Golden Academy nor any Member is responsible for the effectiveness of any third-party opt-out options.

HOW YOUR INFORMATION IS USED

Golden Academy and Members use information, including Personal Information, to carry out the following purposes:

Operate and improve the Golden Academy Site – This includes creating and improving features that support the Golden Academy community and enable Golden Academy Site usage at scale. This also includes personalising the Golden Academy Site, so your learning experience is tailored to your interests and needs.

Create, administer, provide, and teach courses – This includes creating and improving the delivery of massive open online courses and programs on Golden Academy. This also includes personalising courses, so your learning experience is tailored to your interests and needs, and assessing your performance and awarding certificates.

Offer and improve products and services – This includes enabling you to navigate the Golden Academy Site, to enroll and participate in courses and programs on the Golden Academy Site, to learn effectively in such courses and programs, and to purchase or obtain products and services on the Golden Academy Site such as Verified Certificates.

Develop and maintain the security and performance of the Golden Academy Site – This includes tracking Golden Academy Site outages and creating software solutions, detecting violations Terms of Service, and monitoring uses, misuses, and potential misuses of the Golden Academy Site.

Communicate with you – This includes answering your course and platform questions, notifying you of course and Golden Academy Site maintenance and updates, marketing to you about course offerings, programs, news, and related products and services of Golden Academy or Golden Academy affiliates, and as permitted under applicable law, sending you communications about products or services of selected business partners that may be of interest to you.

Support scientific research including, for example, in the areas of cognitive science and education – This includes collaborating to enable and conduct research about how learners access and master course materials online, with the goal of improving course outcomes.

Track Golden Academy Site usage against goals and mission – This includes performing analytics to evaluate access to and performance in courses and course-related products and services and to report aggregate usage information (not Personal Information) to business partners and external audiences.

Exercise, enforce, and comply with legal rights and obligations – This includes responding to subpoenas, court orders, or other legal process; and investigating, preventing, or taking action regarding illegal activities, suspected fraud, security or technical issues, or to protect the rights, property, or safety of Golden Academy, Members, or others, and as otherwise required by applicable law.

Golden Academy or a Member may also seek your consent for additional uses of information, including Personal Information, and will use it only for the purpose described to you. All use of Personal Information is subject to applicable law.

HOW YOUR INFORMATION IS SHARED

Golden Academy and Members share information, including Personal Information, with third parties for the following purposes:

With service providers, contractors, and other third parties that help carry out the uses described above – Golden Academy requires third parties to: (1) abide by this Privacy Policy and applicable law; (2) handle Personal Information in a confidential manner and maintain adequate security; and (3) use Personal Information only as needed to fulfil the relevant purpose(s). In some cases, the Golden Academy Site and individual courses are integrated with third-party services or contain links to websites published by third parties, including other content providers as well as service providers. These third parties are responsible for their own privacy practices, so you should pay attention anytime you are redirected to a third-party website and be sure to review its privacy policy.

With other learners in courses that you take and with other visitors to the Golden Academy Site, to create an interactive learning environment, support class participation, and share course information – This includes sharing comments, coursework, or other information or content that you submit to a portion of the Golden Academy Site designed for viewing by other class members or for public communication. This also includes providing opportunities for you to communicate with other users who may have similar interests or educational goals, for instance, recommending specific study partners or connecting potential student mentees and mentors. In such cases, Golden Academy and each Member that offers a course in which you enrolled may use all information collected about you to determine who might be interested in communicating with you, but will only provide others your username (for clarity, no disclosure of your real name or email address).

With employers, government programs, institutions, or other enterprises that sponsor your enrolment in a course for training or other educational purposes.

With affiliates of Golden Academy or a Member, or with successors in the event of a merger, acquisition, or reorganisation, for their use consistent with this Privacy Policy.

Golden Academy or a Member may also seek your consent for additional disclosures of information, including Personal Information, and will share it only as described to you. In addition, Golden Academy or a Member may share with the public and with third parties, including but not limited to researchers and business partners, information and Personal Information that is de-identified or aggregated in a manner that does not personally identify you.

HOW TO MANAGE YOUR PERSONAL INFORMATION

You can manage your Personal Information through learner features on the Golden Academy Site and requests to the Golden Academy learner support team. If your request involves information controlled by a Member, Golden Academy learner support will notify and coordinate with the appropriate Member to address your request. Golden Academy will provide support to the extent required by applicable law (for example, learners in the European Union) and more broadly when possible, as a courtesy in our sole discretion. Golden Academy will notify you in the event that Golden Academy is unable to meet a request that is not legally required. Similarly, Members will only be obligated to comply with requests to the extent legally required, but may choose to comply with other requests in their sole discretion.

Access and correct your Personal Information

Much of your Personal Information is available in your Golden Academy account. Your name, email address, and other identifiable profile information is editable through the profile settings in your Golden Academy account except as noted below. Your account dashboard lists all current and archived courses in which you have enrolled and includes links to any Verified Certificates you may have earned. The dashboard also contains copies of your answers and other participation and performance in courses. Please contact Golden Academy learner support to access and update this or other information. If your request involves information controlled by a Member, Golden Academy learner support will notify the appropriate Member of your request.

Exceptions:

Usernames cannot ever be changed. This is an Golden Academy system restriction. Because usernames identify you in courses and elsewhere on the Golden Academy Site, Golden Academy encourages you to use discretion in choosing your username. If you want to protect your identity, do not use your real name or a name identifiable to you as your username.

Golden Academy does not track or index every time or every place on the Golden Academy Site when or where a learner may volunteer Personal Information, so neither Golden Academy nor Members will be able to help you locate or manage all such instances. Golden Academy encourages you to use discretion before volunteering Personal Information on the Golden Academy Site.

Restrict or object to the processing of Personal Information

If you want to manage emails and other communications to you, you may update your preferences in your Golden Academy account dashboard, follow the steps described in links at the bottom of email messages, or contact Golden Academy learner support. You may object to, or request that Golden Academy or a Member stop, its use of your Personal Information for other purposes by contacting the Golden Academy learner support team. If your request involves information controlled by a Member, Golden Academy learner support will notify the appropriate Member of your request. Please note that if you choose to restrict Golden Academy’s or a Member’s ability to process Personal Information, and the processing is otherwise required to provide you with various services and products offered on the Golden Academy Site, you may not be able to establish an Golden Academy user account or enroll for a course, and Golden Academy or a Member may not be able to provide you with those services or products.

Delete account and Personal Information

To request deletion of your Golden Academy account and Personal Information, you should click the button labeled “Delete my account” in your Golden Academy account settings. Because deletion on the Golden Academy system is a permanent action and cannot be reversed, Golden Academy may ask you to complete a process that aims to confirm your authority to manage the Golden Academy account affected by your request.

With respect to your Golden Academy account, Golden Academy will permanently:

deactivate your Golden Academy account,

remove the active profile,

retire your username, and

remove you from Golden Academy email lists.

With respect to your Personal Information, Golden Academy will permanently delete your Golden Academy account profile Personal Information from the Golden Academy Site.

As noted above, to the extent that Golden Academy associates the information that Golden Academy collects directly or indirectly with an individual (for example, you), the association is based on Personal Information in your Golden Academy account profile. By erasing the Personal Information in your Golden Academy account profile, the remaining information about your activity on the Golden Academy Site will no longer be associated with you, except as noted below.

These changes will be applied to data stores that are used for operation of the Golden Academy Site including course administration by Members. If you enrolled in any courses on the Golden Academy Site, the Golden Academy learner support team will share your request with the Members that offered those courses.

Exceptions:

Deletion will not apply to historical activity logs or archives unless and until these logs and data naturally “age-off” the Golden Academy system.

Golden Academy does not track or index every time or every place on the Golden Academy Site when or where a learner may volunteer Personal Information, so neither Golden Academy nor Members will be able to help you locate or manage all such instances. Golden Academy encourages you to use discretion before voluntarily sharing your Personal Information on the Golden Academy Site.

Golden Academy will archive course data (in a manner and to the extent permitted under applicable law) to serve its mission to enable scientific research on cognitive science and education. These archives are used to produce encrypted research data packages for Members, and Personal Information may not be deleted from research data packages retained by Members.

Golden Academy and each applicable Member cannot always delete records of past interactions and transactions. For example, records relating to previous purchases on the Golden Academy Site must be retained for financial reporting, audit, and compliance reasons.

Golden Academy and each Member will retain and use Personal Information as necessary to comply with its legal obligations, resolve disputes, enforce its agreements, and as otherwise permitted by applicable law.

Data retention

Golden Academy will retain your Personal Information for as long as your account is active or as needed to provide you with services; to maintain a record of your transactions for financial reporting, audit, and compliance purposes; and to comply with Golden Academy's legal obligations, resolve disputes, enforce its agreements, and as otherwise permitted by applicable law. If you enroll in a Member’s course, such Member will also retain your Personal Information for as long as needed to provide you with services; to maintain a record of your transactions for financial reporting, audit, and compliance purposes; and to comply with its legal obligations, resolve disputes, enforce its agreements, and as otherwise permitted by applicable law. Upon your request that Golden Academy deactivate your account and delete your information, Golden Academy will follow the process described above, including without limitation archiving your course data (in a manner and to the extent permitted under applicable law) to serve its mission to enable scientific research on cognitive science and education. These archives will be used to produce encrypted research data packages for Members, and each such Member may also keep and use course data for scientific research.

STORAGE & SECURITY

Golden Academy stores information, including Personal Information, on its own servers and also on servers of companies that Golden Academy hires to provide services. Each Member also stores information, including Personal Information, on its own servers and/or on servers of companies that the Member hires to provide services. In each case, information may be stored in the United States and in other countries where Golden Academy or a Member operates, and in countries where Golden Academy and each Member’s respective service providers operate. If you are in the European Union, Switzerland, or other regions with laws governing data collection and use, you acknowledge that Golden Academy and each Member may transfer, process and store your personal information in the United States and other countries, the privacy laws of which may be considered less strict than those of your region.

Golden Academy controls its own copy of information collected through the Golden Academy Site and has an information security program designed to protect information in its possession or control. This is done through a variety of privacy and security policies, processes, and procedures. Golden Academy uses administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of the information that it collects, receives, stores, or transmits. Nonetheless, no method of transmission over the Internet, or method of electronic storage, is 100% secure; and therefore, Golden Academy cannot guarantee its absolute security. While Golden Academy works hard to ensure the integrity and security of its network and systems, Golden Academy cannot guarantee that its security measures will prevent “hackers” or other unauthorised persons from illegally accessing or obtaining information.

If Golden Academy learns of a security breach involving its copy of your Personal Information, Golden Academy may attempt to notify you electronically so that you may take appropriate protective steps. By using the Golden Academy Site or providing Personal Information to Golden Academy, you agree that Golden Academy can communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Golden Academy Site. If a security systems breach occurs, Golden Academy may post a notice on the Golden Academy homepage (www.academy-golden.com) or elsewhere on the Golden Academy Site and may send an email to you at the email address associated with your Golden Academy account. Depending on where you are located, you may have a legal right to receive notice of a security breach, involving your Personal Information, in writing.

If a Member learns of a security breach involving that Member’s copy of your Personal Information, the Member may attempt to notify you electronically so that you may take appropriate protective steps. By enrolling in a Member’s course on the Golden Academy Site or providing Personal Information to the Member, you agree that the Member can communicate with you electronically regarding security, privacy, and administrative issues relating to your course enrolment and participation. If a security systems breach occurs, the affected Member may post a notice on the Golden Academy site and/or send an email to you at the email address associated with your enrolment in the Member’s course on the Golden Academy Site. Depending on where you are located, you may have a legal right to receive notice of a security breach, involving your Personal Information, in writing.

Privacy Policy Updates

This Privacy Policy will be reviewed and updated from time to time. When changes are made, the Privacy Policy will be labeled as “Revised (date),” indicating that you should review the new terms, which will be effective immediately upon posting on this page, with an updated effective date. By accessing the Golden Academy Site after any changes have been made, you accept the modified Privacy Policy and any changes contained therein. In case you miss the notification referenced above, be sure to return to this page periodically to ensure familiarity with the most current version of this Privacy Policy.

Glossary

Cookies are unique identifiers usually in the form of small data files placed on your device that send certain information about your activity on the Golden Academy Site or in an email communication back to Golden Academy or the authorised third party that served the cookie. Golden Academy or third parties may also use Flash cookies.

Golden Academy Site consists of all content and pages located within the Golden Academy.org web domain and all Golden Academy mobile applications.

Member is each educational institution or other leading global institution or entity that provides courses through the Golden Academy Site.

Personal Information is information that specifically identifies you or that, when combined with other information, could be used to identify you.

Tracking Technologies are web beacons, clear gifs, pixels, and similar technologies that are also unique identifiers used to track your online activity but are not stored on your device.

Verified Certificate is a virtual certificate that shows that you have successfully completed your Golden Academy course or program and verified your identity using your webcam and your acceptable form of photo ID.

We may remove or edit inappropriate content or activity identified by or reported to us. We may separately suspend, disable, or terminate a user’s access to all or part of the Services.

You are prohibited from using our Services to share content that:

Contains illegal content or promotes illegal activities with the intent to commit such activities. Please keep in mind that users who are as young as 13 use Golden Academy, and we do not allow content that is inappropriate for these younger users.

Contains credible threats or organises acts of real-world violence. We don’t allow content that creates a genuine risk of physical injury or property damage, credibly threatens people or public safety, or organises or encourages harm.

Harasses others. We encourage commentary about people and matters of public interest, but abusive or otherwise inappropriate content directed at private individuals is not allowed.

Violates intellectual property, privacy, or other rights. Do not share content that you do not have the right to share, claim content that you did not create as your own, or otherwise infringe or misappropriate someone else’s intellectual property or other rights. Always attribute materials used or quoted by you to the original copyright owner.

Spams others. Do not share irrelevant or inappropriate advertising, promotional, or solicitation content.

Otherwise violates the Golden Academy Terms of Use.

Please note that specific Content Offerings may have additional rules and requirements.

You also aren’t allowed to:

Do anything that violates local, state, national, or international law or breaches any of your contractual obligations or fiduciary duties.

Share your password, let anyone besides yourself access your account, or do anything that might put your account at risk.

Attempt to access any other user’s account.

Reproduce, transfer, sell, resell, or otherwise misuse any content from our Services, unless specifically authorised to do so.

Access, tamper with, or use non-public areas of our systems, unless specifically authorised to do so.

Break or circumvent our authentication or security measures or otherwise test the vulnerability of our systems or networks, unless specifically authorised to do so.

Try to reverse engineer any portion of our Services.

Try to interfere with any user, host, or network, for example by sending a virus, overloading, spamming, or mail-bombing.

Use our Services to distribute malware.

Use our Services or any functionality of the Golden Academy platform for anything other than for completing online courses or for pedagogical purposes.

Impersonate or misrepresent your affiliation with any person or entity.

Encourage or help anyone do any of the things on this list.

For Month-to-Month Subscriptions

Golden Academy does not offer refunds for payments made on a month-month subscription plan. To avoid being charged during a free trial promotion, you must cancel your subscription before your free trial ends. If you complete a course during the free trial period, Golden Academy reserves the right to require you to pay for a one-month subscription in order to receive a course and/or specialization certificate.

Your subscription will continue on a month-to-month basis unless and until you cancel or the subscription is suspended or discontinued by Golden Academy. For subscriptions to individual specializations, Golden Academy will automatically discontinue your subscription at the end of the monthly period during which you earn a specialization certificate for the specialisation, unless you have subscribed through a third party marketplace that restricts our ability to do so. Please visit the third party marketplace for information regarding their policies. You must cancel your subscription before your monthly renewal date to avoid the next billing.

If you cancel your subscription, cancellation will be effective at the end of the current monthly period; you will continue to have access to your subscription for the remainder of that period, but you will not receive a refund.

For One-time Course and Specialisation Purchases

If you cancel your paid enrolment for a standalone course, Golden Academy will offer you a complete refund until 14 days after payment, or until you have earned your course certificate, whichever is earlier. If you pre-enroll and pay for a course, Golden Academy will offer you a complete refund until 14 days after the course launches or until you have earned your course certificate, whichever is earlier. For avoidance of doubt, once you have earned a course certificate with your payment, you are not eligible for a refund even if it is within 14 days.  However, if you’re taking a course through your company, organization, or a Golden Academy sponsored program (e.g. Golden Academy for Business, Golden Academy for Governments or Organizations, Golden Academy for Refugees, or other Golden Academy Social Good programs ) then you can earn your certificate as long as your company’s contract with Golden Academy is active and your access has not expired in accordance with the terms of that contract or Golden Academy is still running a sponsored program. Similarly, refunds and cancellations will also be governed by the terms of that contract between your organization and Golden Academy.

If you cancel your one-time, paid enrolment for a specialization, Golden Academy will offer you a complete refund until 14 days after payment, or until you earn a course certificate for any course in the specialization, whichever is earlier. If you pre-enroll and pay for the Specialization, Golden Academy will offer you a complete refund until 14 days after the first course in the specialization launches or until you have earned your first course certificate for any course in the specialization, whichever is earlier. If you earned your first course certificate for any course in the specialization within 14 days, you are not eligible for a refund. Unless otherwise indicated as part of the sign-up process, you have one year after you purchase a specialization to complete the specialization.

Notwithstanding the foregoing, shorter refund periods may apply to specific courses and specialisations (e.g., for courses that are part of certain programs, you will only be eligible for a full refund until seven days after your payment date). In these cases, the shorter period will be stated as part of the sign-up process for the course or specialisation.

For Guided Projects (Consultations)

Golden Academy does not offer refunds for payments made for guided (Consult) projects. If you do not earn your completion certificate within 180 days after registering for a guided project, your registration will expire and you will need to pay to re-enroll for the guided project in order to complete the guided project and earn your completion certificate.

For Other Paid Services

Except as described in this Refund Policy or as explicitly stated as part of the sign-up process for a Service, Golden Academy has no obligation to provide refunds or vouchers for any other Services.

European Users Right of Withdrawal

You have a right of withdrawal for a period of 14 days. You may withdraw your contract with Golden Academy for the Services, without giving any reason, and without incurring any costs other than those provided for in this clause.

The withdrawal period will expire after 14 days from the day that your contract was concluded. However, you do not have a right of withdrawal a) if the Services have already been fully performed with your prior express consent and with your acknowledgement that you will lose your right of withdrawal once the Services have been performed by us or b) if the Services have begun with your prior express consent and your acknowledgement that you will lose your right of withdrawal upon beginning use of the Services .

To exercise the right of withdrawal, you should inform us of your decision to withdraw by an unequivocal statement (e.g. a letter sent by post or by contacting us.

You may also electronically submit the model form or any other unequivocal statement to us at support@academy-golden.com

You shall have exercised your right of withdrawal within the 14-day withdrawal period if the communication is sent by you before that period has expired. The exercise of the right of withdrawal shall terminate the obligations of the parties to perform the contract. If you exercise your right of withdrawal, any ancillary contracts shall be automatically terminated.

If you withdraw the contract, we shall reimburse to you all payments received from you, including, if applicable, the costs of delivery, without undue delay and in any event not later than 14 days from the day on which we are informed of your decision to rescind this contract in accordance with this clause. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise. In any event you do not incur any fees as a result of such reimbursement.

If you want the Services to begin during the 14-day withdrawal period you should make an express request thereto, where you acknowledge that you will lose your right of withdrawal once the service has been fully performed. If you exercise the right of withdrawal before the Services have been fully performed, you shall be liable to pay us reasonable costs, consisting of an amount which is in proportion to what has been provided until the time you have informed us of the exercise of the right of withdrawal.

The burden of proof of exercising the right of withdrawal in accordance with this clause shall be on you. Except as provided for in this clause, you shall not incur any liability as a consequence of the exercise of the right of withdrawal.
